Minutes from the 2025 Annual Meeting

Daviess-Martin County REMC’s annual meeting was held virtually on April 22, 2025, at the headquarters of the co-op located in Loogootee, Indiana, at 5 p.m.

The total number of members registered for the annual meeting, which was comprised of members who submitted a mail-in or electronic ballot for the election of directors, was 1,483. As outlined in the Bylaws, voting members are considered registered members. This was over 2% of the 7,036 REMC membership resulting in a quorum. Each of these members received a $10 electric bill credit. In addition, voting members were entered into bill credit drawings held on April 7th, 14th and 21st. 

“Shaping Our Energy Future” video, provided by Hoosier Energy, was played prior to the meeting.

Chairperson Brandt Schuckman called on director Josh Dove to give the invocation. Director August Bauer led the National Anthem and Pledge of Allegiance. 

The meeting was called to order by Schuckman. The Secretary’s Report was given by Director John Edwards. Current directors and director candidates were introduced.

A motion was made and seconded to approve the April 11, 2024, annual meeting minutes. The motion carried.

CEO Ryan Dant reported on the past year’s cooperative happenings. 

Corporate attorney Chris Goffinet gave the legal report and explained the process for director nominations. He reported no new nominations were received by petition for those districts where terms were expiring. He stated incumbents for those districts, Josh Dove, District 1 (Elmore, Madison, Steele and Bogard townships in Daviess County), and Terry Chapman, District 4 (Harrison and Reeve townships in Daviess County), in a timely fashion filed a written notice at the office of the corporation stating their intention to seek a seat on the board of directors. Goffinet verified the election results provided by Survey & Ballot Systems, which managed the election process. Goffinet stated that Dove and Chapman would serve three-year terms for Districts 1 and 4, respectively. 

The meeting adjourned at 5:18 p.m.
