To our members:

The primary purpose of this letter is to inform our membership that the 2020 Marshall County REMC Annual Meeting is canceled. As you know, the bylaws require the REMC to hold an Annual Meeting each year in order to advise and disclose to the membership the financial position and the general status of the cooperative and to elect directors to serve on the board of directors.

In accordance with the national health emergency declared by the United States government and its responsible agencies and the public health emergency declared by the State of Indiana, and, at the direction of the Marshall County government guidelines, your board of directors has determined that it is in the best interest of the REMC membership to cancel the 2020 Annual Meeting.

In compliance with the REMC’s bylaws, the corporation’s financials were made available in the March edition of Indiana Connection (the REMC’s official publication). Given the unusual nature of the health emergency, the board, as provided for in the bylaws, has requested that the two incumbent directors who were up for election this year continue to serve on the board until the 2021 Annual Meeting election. Therefore, the two incumbent directors who were up for election this year, the two directors with terms ending in 2021 and the candidates nominated by the nominating committee will stand for election at the 2021 Annual Meeting. 

We trust that the membership will understand the unusual circumstances that have led to the cancellation of the 2020 Annual Meeting. This is not a decision that the board has taken lightly and not without advice of general counsel. Without a clear path forward regarding the date, time and place to reschedule the meeting, and knowing that the meeting and the subsequent director election would require at least 2% of the members to be in attendance (approximately 125 members) for the meeting to be recognized as official, your board has decided to officially cancel the 2020 Annual Meeting. We look forward to a successful and productive 2021 Annual Meeting.
