2025 Annual Meeting minutes

The minutes of the Annual Meeting of the Fulton County Rural Electric Membership Corporation held at the Fulton County REMC Office in Rochester, Indiana, at 6:30 p.m. on June 23, 2025.

Registration and voting for the June 23, 2025, Annual Meeting took place between 12 p.m. and 5:30 p.m. at the Fulton County REMC office. A total of 381 members registered and voted.

Dennis Burton, president of the board of directors, called the meeting to order at 6:30 p.m. Brock Schwenk led the group in the Pledge of Allegiance, followed by an invocation from Angie Miller.

Burton thanked the members for watching the meeting on our social media and introduced our special guests: Cathy Raderstorf, CEO of Carroll White REMC; and Zach Wright and Todd Gilbert from WVPA. He then introduced all the employees and the current board of directors and thanked them for their service to FCREMC.

Carissa Ziemek, marketing and communication specialist, introduced the recent scholarship winners and the outgoing and incoming student board. Ziemek also reported on community involvement and the Operation Round Up.

Fred McGlothing, operations manager, spoke about changes with the line department and upcoming projects.

Leander Hoover, secretary, reported that notice of the Annual Meeting was mailed to each member of record on June 1, 2025, and asked for a motion to waive the reading of the Notice of Annual Meeting and Proof of Giving Notice. A motion to waive the reading of the Notice of Annual Meeting and Proof of Giving Notice was made, seconded, and carried.

Hoover, then, reported that a copy of the minutes of our Annual Meeting held June 24, 2024, was included in this year’s annual report in the June issue of Indiana Connection. A motion was made, seconded, and carried to waive the reading of the minutes of the June 24, 2024,

Annual Meeting and to approve them as mailed.

Kelly Kitchen, CFO, presented the cooperative’s financial report.

Andrew Horstman presented the CEO report. Horstman spoke about a rate increase that would be spread over two years and would first be reflected in the October 2025 use, due in November. He also announced that Debby Davis would be retiring after 45 years of dedicated service to the Fulton County REMC.

Andy Perkins, attorney, reported that Charlotte Rymph was elected to chair the balloting committee. Rymph reported the election winners as follows:

District #2 Stephanie McCulley

District #7 Adam Loehmer

Prize drawings then took place.

There was no new business. When Burton asked for questions or comments, there were none.

The meeting was adjourned at approximately 7 p.m.
