ANNUAL MEETING REGISTRATION
Registration for the 86th Annual Meeting of Southern Indiana Power began at 6:30 p.m. on Tuesday, April 15, 2025, at the Tell City High School Auditorium, with the business meeting beginning at 7 p.m.
Members also registered for the 2025 Annual Meeting and cast votes for the director election either by mail or by dropping off their registration/ballot at the cooperative’s office by noon on Tuesday, April 15.
OPENING WELCOME
The Pledge of Allegiance was recited, and the National Anthem was played.
CALL TO ORDER
Chairman Jeff Vogel called the 2025 Southern Indiana Power Annual Meeting to order and thanked the members in attendance.
Next, Vogel introduced the present board of directors.
READING OF NOTICE OF MEETING AND PROOF OF MAILING
Attorney Chris Goffinet reported a quorum was met, with 1,852 members registered. There were enough members registered to legally conduct all business brought before the meeting.
APPROVAL OF 2024 ANNUAL MEETING MINUTES
Vogel advised that the 2024 Annual Meeting minutes were distributed. There being no additions or corrections, Vogel moved to approve the 2024 Annual Meeting minutes. A motion was properly made, seconded, and carried to approve the minutes of the 2024 Annual Meeting as presented.
ELECTION OF DIRECTORS
Vogel called upon Attorney Chris Goffinet for the director election results. He stated District 1 incumbent Jeff Vogel filed for re-election with no opposition, District 2 incumbent Chris Burroughs filed for re-election with no opposition, and District 7 incumbent David Lynch filed for re-election with no opposition.
There being no opposition, Goffinet proposed that the candidates be elected by acclamation. A motion was properly made, seconded, and carried that Jeff Vogel, Chris Burroughs, and David Lynch be elected by acclamation for a three-year term.
FINANCIAL REPORT
The financial report was presented virtually by Earl Ridlen, CPA, of London Witte Group, LLC. A motion was properly made, seconded, and carried to approve the financial report as presented.
The 2024 cooperative financials will be made available to all members on the cooperative’s website and will be published in the Indiana Connection magazine.
CEO REPORT
CEO Seibert provided an update on the cooperative’s status. The report will be available to all members on the cooperative’s website and will be published in the Indiana Connection magazine.
ADJOURNMENT
There being no further business, Vogel moved to adjourn the meeting. A motion to close the meeting was properly made, seconded, and carried. Vogel adjourned the meeting at 7:19 p.m.
