The Annual Meeting of the Miami-Cass Rural Electric Membership Corporation was held Sept. 30, 2025, at the REMC headquarters in Peru, Indiana.

Call to Order

Board President Jim Savage called the meeting to order at 6 p.m. The following directors were present: Scott Marschand, Cindy Scott, Todd Smith, Tony Caldwell, Don Willson, and Mark Hahn. Also present were Rob Schwartz, CEO; Shadd McLochlin, director of member services; and Kerri Gaumer, administrative assistant. Attorney J. Michael Deweese was also in attendance.

Consent Items

Savage asked for a motion to skip the reading of 2024’s Annual Meeting minutes and approve them. Scott made the motion; Caldwell seconded. The motion passed. The minutes can be found in a recent issue of Indiana Connection magazine.

CEO report 

Schwartz presented the yearly update.

LEGAL report

Deweese presented the legal report.

Scott and Hahn were re-elected to the board for a three-year term.

The election was uncontested.

There being no further business to come before the board, the Annual Meeting was adjourned at 6:28 p.m.
