ANNUAL MEETING REGISTRATION
Registration for Southern Indiana Powers 85th Annual Meeting began at 6:30 p.m. on Tuesday, April 16, 2024, at the Tell City High School Auditorium, with the business meeting starting at 7 p.m.
Members registered for the 2024 Annual Meeting and cast votes for the director election either by mail or by dropping off their registration/ballot at the cooperatives office by noon on Tuesday, April 16.
OPENING WELCOME
The Pledge of Allegiance was recited, and the National Anthem was played.
CALL OF MEETING TO ORDER
Chairman Jeff Vogel called the 2024 Southern Indiana Power Annual Meeting to order and thanked the members in attendance.
Next, Vogel introduced the present board of directors.
READING OF NOTICE OF MEETING AND PROOF OF MAILING
Attorney Chris Goffinet reported a quorum was met, with 1,990 members registered. Enough members were registered to legally conduct all business brought before the meeting.
APPROVAL OF 2023 ANNUAL MEETING MINUTES
Vogel advised that the 2023 Annual Meeting minutes were distributed. Since there were no additions or corrections, Vogel asked for a motion to approve the 2023 Annual Meeting minutes. A motion was properly made, seconded, and carried to approve the minutes of the 2023 Annual meeting as presented
ELECTION OF DIRECTORS
Vogel called upon Goffinet for the director election results. He stated that District 5 incumbent Randy Kleaving filed for re-election with no opposition, and District 6 incumbent Kyle Knieriem filed for re-election without opposition.
With no opposition, Goffinet proposed that the candidates be elected by acclamation. A motion was properly made, seconded, and carried that Randy Kleaving and Kyle Knieriem be elected by acclamation for a three- year term.
FINANCIAL REPORT
Earl Ridlen, CPA of London Witte Group, LLC, presented the financial report virtually. A motion was properly made, seconded, and carried to approve the financial report as presented.
The 2023 cooperative financials will be available to all members on the cooperatives website and published in Indiana Connection magazine.
CEO REPORT
CEO Steve Seibert provided an update on the state of the cooperative. The report will be available to all members on the cooperatives website and published in Indiana Connection magazine.
ADJOURNMENT
With no further business, Vogel requested a motion to adjourn the meeting. A motion was properly made, seconded, and carried that the meeting be closed. Vogel adjourned the meeting at 7:25 p.m.
