ANNUAL MEETING REGISTRATION

Registration for the 84th Annual Meeting of Southern Indiana Power began at 6 p.m. on Thursday, April 20, 2023, at the Tell City High School Auditorium with the business meeting beginning at 7 p.m.

Members also registered for the 2023 Annual Meeting and cast votes for the director election either by mail or by dropping off their registration/ballot at the office of the cooperative by noon on Thursday, April 20.

OPENING/WELCOME

The National Anthem was played.

CALL OF MEETING TO ORDER

Chairman Jeff Vogel called the 2023 Southern Indiana Power Annual Meeting to order and thanked the members in attendance.

Next, Vogel introduced the present Board of Directors.

READING OF NOTICE OF MEETING AND PROOF OF MAILING

Attorney Chris Goffinet reported a quorum was met, with 2,010 members registered. There were enough members registered to legally conduct all business brought before the meeting.

APPROVAL OF 2022 ANNUAL MEETING MINUTES

Vogel advised the 2022 Annual Meeting minutes were distributed. There being no additions or corrections, Vogel asked for a motion to approve the 2022 Annual Meeting minutes. A motion was properly made, seconded, and carried to approve the minutes of the 2022 Annual Meeting as presented.

ELECTION OF DIRECTORS

Vogel called upon Goffinet for director election results. He stated District 1 incumbent Gary Waninger filed for re-election with no opposition and District 4 incumbent Dirk Stein filed for re-election with no opposition.

There being no opposition, Goffinet proposed the candidates be elected by acclamation. A motion was properly made, seconded, and carried that Gary Waninger and Dirk Stein be elected by acclimation for a three-year term.

FINANCIAL REPORT

The financial report was presented virtually by Earl Ridlen CPA, CGMA of London Witte Group, LLC. A motion was properly made, seconded, and carried to approve the financial report as presented.

The 2022 cooperative financials were made available to all members on the cooperative’s website and were published in the Indiana Connection magazine.

CEO REPORT

CEO Steve Seibert provided an update on the state of the cooperative. The report was available to all members on the cooperative’s website and published in the Indiana Connection magazine.

ADJOURNMENT

There being no further business, Vogel asked for a motion to adjourn the meeting. A motion was properly made, seconded, and carried that the meeting be closed.

Vogel adjourned the meeting at 7:25 p.m.
