Minutes of the Annual Meeting of the Members of the Warren County Rural Electric Membership Corporation as held on Wednesday, Oct. 1, 2020:

The Annual Meeting of the Members of Warren County Rural Electric Membership Corporation was held via WebEx video conferencing and teleconferencing on Thursday, Oct. 1, 2020, pursuant to Article II, Section I of the bylaws of the Corporation, as amended.

Chairman Michael Conner called the meeting to order at 7 p.m. (EST), with invocation being presented by Don McKinnis, director.

Chairman Conner reported that 424 members cast ballots prior to the 2020 Annual Meeting and, according to the bylaws, that did establish the required quorum.  A motion was duly made and seconded to waive the reading of the notice of the meeting, proof of mailing, and to waive the reading of the minutes of the previous meeting held on March 6, 2019, which were included in the mailing of the notice of the meeting. The motion passed. Next, Mr. Conner accepted a motion and a second to approve the minutes of the 2019 annual meeting as mailed. The motion passed.

Bruce Buchanan, secretary -treasurer of the board, presented the annual financial reports for the fiscal (calendar) year ending on Dec. 31, 2019, and upon a motion, being duly made and seconded, the financial reports for the year 2019 were approved.

Erin Borissov, Warren County REMC general counsel, described the board of directors, the nomination process, and election cycle pursuant to Section 2, 3, and 4 of Article III of the bylaws of the Corporation.

Alan Anderson, chairman of the Committee on Nominations, stated that such meeting of the committee was held on Jan. 31, 2020 in the offices of the cooperative to nominate three (3) members for directors, viz:

1. For the three (3) year term:

  • Michael R. Conner for Benton/White counties, District 1
  • Don E. McKinnis for Warren/Tippecanoe counties, District 2
  • Rich L. Potter for Warren/Tippecanoe counties, District 2

Borissov stated that, due to the unprecedented circumstances, the board amended the bylaws to accommodate early voting and the virtual format for 2020.  Ballots were sent out with the Indiana Connection magazine in September 2020, and members had the option to mail in the ballot or hand deliver it to the REMC office.  Borissov announced that there were no nominations by petition this year and that members, via their mailed ballots, elected the three candidates nominated by the Committee on Nominations. Thus, the nominees by the Committee on Nominations, were declared elected, unanimously, each as a director of the Corporation for a three (3) year term, or until a successor is duly elected.

Conner then introduced the Warren County REMC board of directors.

Philip High, general manager of the cooperative, gave the general manager’s report, which included an overview for the year 2019 and the first part of 2020, a summary of the impact of the COVID-19 pandemic on the Corporation, and projects that are proposed for 2020-21.

Conner, after asking if there was any new business or old business concerns, thanked the membership for attending the annual meeting.

After the drawing of the attendance prizes, the meeting was adjourned at 7:25 p.m.
